1. GENERAL PROVISIONS

1.1. These Terms and Conditions of Sale and Purchase of Goods (hereinafter referred to as the “Terms and Conditions”), once approved by the Buyer (by familiarising himself with the Terms and Conditions and by ticking the box next to the statement “I have read and accept the KOBIOKI Terms and Conditions”), shall constitute a binding legal document for the parties, which shall set out the Buyer’s and the Seller’s rights and duties, the conditions of purchase of the goods and the conditions of payment for the goods, the procedure for the delivery of the goods and the procedure of return of the goods, the parties’ liability and any other provisions relating to the purchase of the goods in the KOBIOKI online store.
1.2. The Seller reserves the right to change, amend or supplement the Terms and Conditions at any time. Registered Buyers will be informed of any changes, corrections or additions at the time of logging in to the KOBIOKI website and will be required to re-confirm the Terms and Conditions. The amendment to the Terms and Conditions shall only apply to orders placed after the amendment to the Terms and Conditions.
1.3. The KOBIOKI online shop sells throughout Lithuania.
1.4. The Seller is UAB Biokobi international, a private legal entity, legal form of which is a private limited liability company, legal entity code: 304285464, registered office at Lazdijų g. 18B, Kaunas, LT-46349, Republic of Lithuania, the data is collected and stored in the Register of Legal Entities, telephone number +370 700 77870.
1.5. Buyer:
1.5.1. a natural person who is legally able to enter into transactions and who buys goods for personal consumption (not for business purposes);
1.5.2. A legal person in the Republic of Lithuania who purchases goods as an end user (intending to use the goods for representational or other purposes). for purposes other than the resale or use of the goods for the purposes of business, manufacturing or provision of services;
1.5.3. duly authorised representatives of all the above.


2. ENTRY INTO FORCE OF THE SALE AND PURCHASE AGREEMENT

2.1. The contract between the Buyer and the Seller shall be deemed to have been concluded from the moment the Buyer, having selected the product(s) to be purchased and having created a shopping cart, clicks on the “Checkout” link.
2.2. If the Buyer does not agree to any part of these Terms and Conditions or these Terms and Conditions, the Privacy Policy, the delivery and return policy, the total price or any part thereof, any additional charges and/or additional costs, the Buyer shall not be able to place an order, purchase the Goods or enter into a Contract with the Seller.
2.3. KOBIOKI is under no obligation to separately notify the Buyer of its agreement to conclude the Contract. KOBIOKI shall be deemed to have confirmed the order from the moment it starts to execute it.
2.4. Each sales contract concluded between the Buyer and the Seller and the data provided during the Order are recorded and stored in the database of the KOBIOKI online shop.
2.5. After the Seller has arranged the order for the Customer, the Seller sends the VAT invoice to the email address specified in the Customer’s order. by post.
2.6. Due to your computer settings and monitor resolution, lighting or similar conditions, the actual colour of the goods may vary slightly from the picture.


3. BUYER’S RIGHTS

3.1. The Buyer has the right to purchase goods in the KOBIOKI Online Shop in accordance with these Terms and Conditions and the Online Shop.
3.2. The Buyer has the right to withdraw from the contract for the purchase and sale of goods concluded with the KOBIOKI online shop by notifying the Seller in writing (by e-mail, indicating the product to be returned and its order number) no later than 5 (five) working days from the date of delivery of the item, except where the contract is concluded for
3.2.1. audiovisual works and phonograms on any video or audio media, the supply of computer programs and the Buyer’s breach of packaging protections;
3.2.2. supply of books, newspapers, magazines or other periodicals;
3.2.3. supply of cosmetics, perfumery, household chemicals and hygiene products;
3.2.4. supply of underwear;
3.2.5. goods that have been made to meet the Buyer’s personal needs or to meet the Buyer’s specifications;
3.2.6. foodstuffs, if the foodstuff was sold to the Buyer in good quality and the shelf-life of the product has not expired;
3.2.7. goods that cannot be returned because of their characteristics, including perishable and expired products;
3.2.8. in other cases where the sale and purchase agreement cannot be cancelled, in accordance with the laws of the Republic of Lithuania.
3.3. The Buyer may exercise this right only if the goods have not been damaged or substantially altered in appearance or used. Rule 4.2. The Buyer’s right provided for in point (1) shall be exercised in accordance with the provisions of the Regulation of the Minister of the Economy of 2001. 17 August the “Rules governing the sale of goods and the provision of services by means of communication”, approved by Order No 258.


4. BUYER’S OBLIGATIONS

4.1. The Buyer must accept the goods in accordance with these Conditions and pay the agreed amount for them.
4.2. The Buyer must provide the Seller with the correct identifying information at the time of ordering. If the data provided by the Buyer in the registration form changes, the Buyer must update it without delay.
4.3. The Customer undertakes not to pass on his/her login data to third parties. If the Buyer loses his/her login details, he/she must immediately inform the Seller using the means of contact specified in the “Contact” section.
4.4. The Buyer, using the KOBIOKI online store, undertakes to comply with these Terms and Conditions and not to violate the legislation of the Republic of Lithuania.
4.5. If the Buyer refuses to accept the goods at the time of delivery without valid reasons, the Buyer shall be liable for the delivery costs.


5. SELLER’S RIGHTS

5.1. If the Buyer attempts to undermine the stability and security of the online shop or violates his/her obligations, the Seller shall have the right to restrict or suspend the Buyer’s access to the online shop or, in exceptional cases, to cancel the Buyer’s registration, immediately and without warning.
5.2. In important circumstances, the Seller may temporarily or permanently discontinue the operation of the Online Shop without prior notice to the Buyer.
5.3. The Seller shall have the right to cancel the Buyer’s order without prior notice to the Buyer if the Buyer fails to pay for the Goods within 3 (three) working days after having opted for payment methods other than cash.
5.4. Where the Buyer chooses to pay in cash at the time of delivery of the goods, the Seller shall contact the Buyer by the telephone number specified in the order in the event of any uncertainty about the information provided in the order. In such case, the delivery period shall commence from the date of contact with the Buyer. The Seller shall have the right to cancel the Buyer’s order without prior notice to the Buyer if the Seller is unable to contact the Buyer within 3 (three) working days.
5.5. KOBIOKI shall have the right in all cases not to enter into a contract of sale with a particular Customer who has placed an order, including but not limited to cases where the Customer has refused the contract of sale and has returned the goods on 2 or more occasions within the last 6 months.
5.6. KOBIOKI shall have the right to withdraw from the contract if the stock of the goods specified in the contract has run out, or if the contract has been concluded by a person who was not entitled to conclude the contract in accordance with the present Rules.


6. OBLIGATIONS OF THE SELLER

6.1. The Seller undertakes to enable the Buyer to use the services provided by the KOBIOKI online shop under the conditions set out in these Terms and Conditions and in the online shop.
6.2. The Seller undertakes to deliver the goods ordered by the Buyer to the address specified by the Buyer and on the terms and conditions set out in these Conditions.
6.3. If the Seller is unable to deliver the goods ordered to the Buyer due to important circumstances, the Seller undertakes to offer an analogous or, as far as possible, similar product. If the Buyer refuses to accept an equivalent or similar product, the Seller undertakes to refund the Buyer the money paid within 7 (seven) working days, if prepayment has been made.
6.4. The Seller undertakes to respect the Buyer’s right to privacy with regard to the personal information belonging to him/her, as indicated in the registration form of the online shop, except in the cases provided for by the laws of the Republic of Lithuania.


7. PRICES, PAYMENT PROCEDURES AND TERMS

7.1. The prices of the products in the online shop and in the order form are quoted in euros including VAT. KOBIOKI reserves the right to change the prices of goods in the event of changes in tax rates or transaction costs.
7.2. The buyer pays for the goods in one of the following ways:
7.2.1. Payment by bank transfer is a prepayment where the Buyer transfers money to KOBIOKI’s bank account after printing out the order and going to the nearest bank branch or simply using the online banking system.
7.2.2. Payment by email. banking, via a 3rd party service provider.
7.2.3. Payment by credit card, 3rd party service provider.
7.2.4. Payment in cash or by bank card at the time of delivery – the Buyer pays for the goods at the time of delivery (handover – acceptance). A service charge of €2 applies for this payment method.
7.3. The Buyer undertakes to pay promptly by the method of payment provided for in clauses 7.2.1, 7.2.2, 7.2.3. In these cases, it is only after payment for the goods has been received that the parcel starts to be prepared and the delivery time starts to run.
7.4. The cost of delivery is automatically included in the price of the order, except in the case of special offers on the website that offer free delivery.

8. RECEIPT OF GOODS

8.1. When you take delivery of your order, you must check the condition of the parcel and sign the bill of lading or other delivery note.
8.2. Only the person who placed the order, or the person named at the time the order was placed, can collect the goods, so you must have proof of identity (ID card, passport or a new driving licence) with you when you collect the goods. If the goods are accepted by another person, the company is not responsible for the parcel.
8.3. When accepting a shipment, you must:
8.3.1. count the number of packages. The number of packages to be delivered by the courier shall be the same as the number indicated on the delivery note provided by the courier to the Buyer. If the number of packages delivered differs from the number of packages indicated on the delivery note, the number of packages received must be adjusted on the delivery note;
8.3.2. checking packaging labels. The address of the Buyer must appear on the labels of the packages and the package numbers must correspond to the package numbers on the delivery note. If the numbers of the packages delivered are different from the package numbers indicated on the delivery note, the package numbers of the packages received must be adjusted on the delivery note;
8.3.3. inspect the packaging received. Packages to be delivered must be in good condition, i.e. not torn, crushed or otherwise damaged.
8.4. If the parcel is delivered in unusable packaging, the Buyer has the right not to accept it, instructing the courier to return it immediately to KOBIOKI for an inspection of the technical condition of the goods. Complaints about defects or order discrepancies must be made to Customer Service on the same day as receipt of the goods.
8.5. Failure to comply with these instructions shall not render KOBIOKI liable for any shortage or damage to the goods delivered.
8.6. Due to your computer settings and monitor resolution, lighting or similar conditions, the actual colour of the goods may vary slightly from the picture.


9. MARKETING MEASURES TAKEN BY THE SELLER

9.1. The Seller may, at its sole discretion, initiate various types of promotions on the KOBIOKI online store, other outlets (stores) operated by KOBIOKI, on the KOBIOKI account on Facebook and on any other information media.
9.2. The Seller has the right to modify the terms of the Shares or to cancel them by unilateral decision after informing the Buyers.
9.3. The specific terms and conditions of certain promotions initiated by the Seller, which are unique to those particular promotions, shall be defined in the communication tools for those promotions.
9.4. The Seller may, with the prior, voluntary consent of the Buyer, collect additional data about the Buyer: telephone number, date of birth, number of children, date of birth of children, etc. data.
9.4.1. To collect additional data, separate, specific survey forms are available, which are filled in voluntarily by the client. Survey forms always specify the purpose of the information collection and the benefits for the Buyer.
9.4.2. Additional data may be collected to provide specialised offers: promotions, news, articles, etc. information that benefits the customer.

10. EXCHANGE OF INFORMATION

10.1. The Seller communicates with the Buyer using the email provided in the order form. your postal address and telephone number.
10.2. The Buyer shall send all notifications and questions to, and the Buyer may use, the means of contact indicated in the “Contact” section of the Seller’s online shop.


11. RESPONSIBILITY

11.1. The Buyer is fully responsible for the accuracy of the data provided in the order form. If the Buyer provides inaccurate data, the Seller shall not be liable for the consequences thereof and shall be entitled to claim direct damages from the Buyer.
11.2. The Buyer is fully responsible for his/her actions during the visit to the KOBIOKI online shop
11.3. The Seller shall be exempt from all liability in all cases where the loss is due to the Buyer’s failure to read these Conditions, despite having been given the opportunity to do so, in disregard of the Seller’s recommendations and obligations.
11.4. In the event of damage, the party at fault shall compensate the other party for direct damages.

12. COMPLAINTS PROCEDURE

12.1. All complaints may be submitted to Biokobi international UAB by e-mail to info@kobioki.lt Working days I-V from 8.00 to 16.00.
12.2. The Seller shall have the right to process complaints within 30 (thirty) days from the date of their receipt, unless the legislation of the Republic of Lithuania establishes different deadlines. In complex cases, this deadline may be extended by an additional 15 (fifteen) days. Replies to complaints shall be provided to Buyers by email or telephone or at the address provided by the Buyer.

13. FINAL PROVISIONS

13.1. Relationships arising under these rules are governed by the law of the Republic of Lithuania.
13.2. Any disagreements arising from the implementation of these rules shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the laws of the Republic of Lithuania.
